Onboarding
Those who are seeking fundraising go through a rigorous onboarding process, starting with KYC and AML.
After KYC and AML has been satisfied the applicant moves on to our panel of advisors of industry experts for the specific industry. The panel approves the plans or provides feedback and clarity where needed.
After the panel has approved the applicant, the next step is to ensure legal compliance and regulatory concerns are satisfied. The applicant meets with our legal teams to ensure all requirements are in order, protecting the underlying assets, fundraisers, and investors, ensuring all regulatory or compliance issues are satisfied.
When all previous steps have been satisfied, we deploy customised smart contracts for the assets/investment and add the opportunity to our investment panel, allowing investors to access, invest in, share and discuss with others.

There are various revenue generating models and fees that can apply across the various Contains Platforms.
Fundraisers and Investments
When a fundraiser applies to Contains Digital to have their assets tokenised, initial onboarding such as KYC/AML checks are completed, these costs are minimalised as much as possible.
Pre-Listing screening through our board of industry experts varies in costs depending on the level of detail and the underlying proposal for tokenisation, in some cases this may be complimentary. The intention of pre-listing screening is to ensure suitability prior to tokenisation and fundraising starting.
Tokenisation of assets will incur costs ranging from $0 to $5,000 USD depending on the suitability and risk factors of the underlying asset/investment opportunity, this is to cover the cost of the development work.
A 5-10% success-fee is applied to each investment. The percentage applied is tier based and is set depending on a number of factors, such as the value of the total investment that the fundraiser is seeking, the risk factor of the underlying assets and opportunity.
Investors
The first 5,000 investors to join the Contains ecosystem will be onboarded for free, with onboarding costs covered by Contains Digital from the Seed-investment, this ensures reduced friction with investor onboarding.
When investors join an investment opportunity using cryptocurrency (USDC for example), no fees apply! If an investor joins an investment opportunity using FIAT (for example, debit card payment), additional fees will apply, applicable fees will be displayed clearly for the investor to see prior to completion of the payment being made.

Here we detail two very different hypothetical investment opportunities, one on Contains Entertainment for Film production with return on initial investment and then ongoing payments earned from film distribution revenue, the other for fractionalized ownership of a collection of art-pieces that is then sold at auction with "profit share" to the token holders.
Contains Entertainment
Film Production Funding
A film producer who is seeking investment for film production applies, passes the initial onboarding KYC/AML process, and moves on to discuss the film with our board of experts in the entertainment industry.
Our advisors do not assess the film plot, but they do assess aspects such as the producers career and other known elements of the process, such as potential actors who might be signed/contracted already (or expressions of interest etc), as well as any known distribution deals that might already exist. This all helps to form an opinion of the potential success of the production and distribution process and allows our experts to provide feedback or approval as well as setting potential milestone releases.
Once approved, the producer would provide as much information as possible for potential investors to read, this might include things such as the film plot, known actors, distribution deals etc, and of course the investment amount the producer is seeking and the expected returns process and potential timelines.
We tokenise the investment opportunity and open the raise to interested investors.
Investors check the information provided, and if interested they can invest in the opportunity.

Film producer is seeking $10,000,000 USD for production in a film with a 2-year timeline from start to distribution.
Expected returns are "Invested amount +20%" and ongoing "50% of annual distributions and contracts".
Investors invest into the opportunity and raise $10m for the film production, receiving "film1 tokens" which represents their investment into this specific film.
Contains Digital success-fee 5% is applied ($500,000 USD).
Filming commences and funds are released as per any pre-set milestone requirements (unreleased funds held in escrow).
Filming and editing completes in 2-3 years and film distribution starts, with box office sales and then global distribution (streaming sites, tv, sales etc). Box Office sales hit $25m.
Film company pays $12,000,000 (original investment amount + expected interest), plus 50% of the remaining, i.e. $6,500,000 to the investment token holders (total payments $18,500,000).
Additionally, the Film company has contracts for exclusive distribution for 1 year to a streaming site in the USA for $2,000,000 and additional regions non-exclusive distribution through other sites and sales for $5,000,000.
Film company pays total 50% of the $7,000,000 distributions to the token holders in the investment, i.e. $3,500,000.
Assuming Payments from global distributions are ongoing "forever", token holders could expect to receive regular ongoing payments from the film company.
Investors who invest in this opportunity might wish to divest themselves of the investment. Since the investment is tokenised, the token holder can list their tokens for sale in our secondary market, allowing them to set a price they wish to sell their investment for and allowing other users to purchase their tokens at an agreed price. This means investors could potentially sell their investment before the film production has completed (allowing other investors to speculate on the film's success).

Fractionalized Ownership
The owner of a private art collection wishes to raise funds by fractionalizing ownership of their collection.
The owner goes through the onboarding process and our board of experts verifies the authenticity of the collection alongside our legal team, ensuring the collection is recognised as authentic, and that none of the pieces are subject to any legal restrictions or concerns (such as theft, forgery etc).
A clear plan is designed around the custody of the collection, for example, safe storage, insurance, transport to a museum for public viewing etc.
A clear plan is put in place with the owner for the potential monetization of the collection, for example, revenue gained from the sale of the collection, or potentially from the use of the collection in film or private viewings.
When the board and legal teams have approved the owner and the collection, we tokenize the collection for investment.

Collection owner wishes to raise $5m by fractionalising the ownership of the collection.
Owner and collection pass the onboarding processes.
A clear plan is put in place, the pieces will be displayed in a public museum with adequate transport, insurance etc paid for by the owner.
Plan states that after 12 months, the collection will be put on sale (privately or at auction), with a reserve of no less than $6m (after fees).
From the sale of the collection, the first $5m will be paid directly to the token holders.
The collection is tokenized, and investors provide the $5m in investment, with anything more than $5m being split 50/50 between the token holders and the original owner.
Contains Digital success fee 5% is taken ($250,000).
12 months later, the collection sells for $8.25m at auction, after auction fees $7,260,000.
The initial $5m is distributed to the token holders, then 50% of the remaining $2,260,000 is distributed to the token holders ($1,130,000) and 50% to the original owner of the pieces ($1,130,000).
No further payments would be expected after this distribution of sale proceeds and profits.
